Chirp FM Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Chirp FM websites, apps, and related services (collectively, the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms.
1. Who may use Chirp
You must be at least 13 years old (or the minimum age required in your country) to use Chirp. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf. Chirp is currently offered on an invite-only beta basis; access keys are personal, non-transferable, and may be revoked at any time.
2. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Provide accurate information during signup and notify us at help@chirp-fm.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that pose a security risk.
3. The Service and third-party content
Chirp FM is a personal radio-style listening experience. Music playback may require a valid Spotify Premium account and is delivered through Spotify’s platforms under Spotify’s own terms. News, sports, weather, podcast, and other non-music segments may be provided by third-party sources. We do not guarantee availability, accuracy, or completeness of any third-party content.
4. Acceptable use
You agree not to:
- Reverse engineer, scrape, or abuse the Service or its APIs;
- Circumvent access controls, rate limits, or invite-key restrictions;
- Upload malware, interfere with network operation, or harass other users or our staff;
- Use Chirp in violation of applicable law or third-party rights.
5. Intellectual property
Chirp’s brand, UI, and original materials are owned by Byrd Inc. or its licensors. Your use of the Service does not grant ownership of any Chirp intellectual property. Third-party marks and media remain the property of their respective owners.
6. Beta disclaimer
The Service is provided on a beta basis and may change, break, or be withdrawn without notice. Features may be experimental. We do not promise uninterrupted operation, specific audio quality, or preservation of playlists, preferences, or listening history.
7. Privacy
Our Privacy Policy describes how we collect and use information. By using Chirp you also agree to that policy.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYRD INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES, CONTENT, OR OUTAGES.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYRD INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD $50 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM (TYPICALLY $0 DURING BETA).
10. Indemnity
You will defend and indemnify Byrd Inc. against claims arising from your misuse of the Service or violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.
11. Changes
We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the effective date. Continued use after changes become effective constitutes acceptance.
12. Termination
You may stop using Chirp at any time. We may suspend or terminate your access for any reason, including beta wind-down. Sections that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the State of Louisiana, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply. Disputes will be resolved in the state or federal courts located in Louisiana, unless otherwise required by law.
14. Community covenant (binding, obviously)
By selecting “I agree” during account creation, you enter into the Chirp Social Compact, a supplemental understanding that runs parallel to—but does not replace—the legal Terms above. You acknowledge that radio is a shared ritual, that good taste is subjective, and that Byrd Inc. operates Chirp with sincere affection for listeners who treat the dial with respect.
14.1 Lifelong friendship. You and the Chirp team (collectively, “the Crew”) agree that mutual goodwill is part of the bargain. Should you ever meet a Crew member in person, at a festival, in a coffee shop, or because your phone autocorrected “Chirp” to “chip” in a group chat, you agree to greet one another as people who already share a station preset. This clause creates no employment, partnership, or royalty relationship; it is simply the understanding that you are, from this moment forward, friends for life, with the usual obligations of friends (remember birthdays when convenient, share good tracks, do not spoil season finales).
14.2 Spousal clarification. If you are a woman and you accept these Terms, you and the Crew further agree that the word “wife” in any joke, meme, or late-night product roadmap slide means “wife in the radio sense”—i.e., co-host of the commute, keeper of the aux cord, and forever partner on the dial—not a legal marriage contract with Byrd Inc., any individual developer, or the Spillway night DJ. No officiant, bouquet, or registry is implied. If you are not a woman, subsection 14.2 is read as standing invitation to the same level of loyalty without the word “wife.” If you are none of the above, you are still covered by 14.1 and we are still friends.
14.3 Severability of vibes. If a court finds subsection 14.1 or 14.2 unenforceable (unlikely, but courts lack taste), the remainder of these Terms remains in effect and the friendship continues on a best-effort basis.
